Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the 4ourmedia website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services

4ourmedia provides Shopify development and consulting services, including but not limited to:

• Store setup and configuration
• Theme design and customization
• Platform migration services
• Shopify Plus implementation
• Training and support
• Ongoing maintenance and optimization

Specific services, deliverables, timelines, and pricing will be outlined in individual project proposals or agreements.

Project Scope and Changes

Each project begins with a detailed scope of work. Any changes to the agreed-upon scope may result in additional fees and timeline adjustments. Change requests must be submitted in writing and approved by both parties before implementation.

Payment Terms

Project-Based Services

Unless otherwise agreed:

• 50% deposit required before work begins
• Remaining 50% due upon project completion
• Payment must be received before final delivery of files or launch
• All fees are non-refundable once work has commenced

Ongoing Services

Monthly maintenance and support packages are billed in advance on a recurring basis. Services may be terminated with 30 days written notice.

Late Payments

Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances.

Client Responsibilities

Clients are responsible for:

• Providing timely access to necessary accounts, platforms, and materials
• Providing feedback and approvals within agreed-upon timeframes
• Ensuring all provided content (text, images, logos) does not infringe on third-party rights
• Maintaining their Shopify subscription and any required third-party services
• Creating backups of their data before migrations or major updates

Intellectual Property

Client Materials

You retain ownership of all materials you provide (logos, content, images, etc.). You grant us a license to use these materials solely for the purpose of completing your project.

Deliverables

Upon full payment, you own the custom work we create specifically for your project. However, we retain rights to any pre-existing materials, templates, code libraries, or tools used in the project. We also retain the right to display your project in our portfolio unless you request otherwise.

Third-Party Assets

Any third-party themes, plugins, apps, or assets used in your project are subject to their respective licenses. You are responsible for maintaining any required licenses or subscriptions.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our work at no additional charge for 30 days after project completion.

Disclaimer

Except as expressly stated above, our services are provided "as is" without warranties of any kind. We do not guarantee specific results, sales figures, or search engine rankings. We are not responsible for the performance of third-party services, platforms, or integrations beyond our control.

Limitation of Liability

To the maximum extent permitted by law, 4ourmedia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information you share with us. We will not disclose such information to third parties except as necessary to perform our services or as required by law.

Termination

Either party may terminate a project or service agreement:

• For convenience with 30 days written notice
• Immediately if the other party breaches these Terms
• Immediately if payment is not received within 30 days of the due date

Upon termination, you must pay for all work completed to date. We will provide any completed deliverables upon receipt of final payment.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, terrorism, riots, or government actions.

Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Indemnification

You agree to indemnify and hold harmless 4ourmedia from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any project-specific proposals or agreements, constitute the entire agreement between you and 4ourmedia regarding our services and supersede all prior agreements and understandings.
